Accredited Investor (Regulation D)
Generally, an individual who has earned income exceeding $200,000 (or $300,000 jointly with a spouse) in each of the prior two years, or who has a net worth over $1 million excluding the value of a primary residence. Certain professional certifications and entity types also qualify.
Qualified Client (Investment Advisers Act of 1940)
Generally, an individual or entity with at least $1.1 million under management with the adviser, or a net worth exceeding $2.2 million, thresholds that are periodically adjusted by the SEC.
